How do the members of the Limited Liability Company vote at the General Meeting?

The number of votes required to make a decision in the LLC

 100% of votes:

approval of the monetary value of the participant’s non-monetary contribution;

– redistribution of shares among company members in the cases provided for by the Law;

– creation of other bodies of the company, determination of the order of their activity;

– making a decision on the company’s acquisition of a participant’s share (part of a share);

– making changes to the articles of association that change the number of votes required for decision-making other than those provided for by the Law.

75% of votes:

– making changes to the company’s charter;

– making a decision to carry out activities by the company on the basis of the model charter;

– change in the size of the authorized capital of the company;

– making decisions on separation, merger, division, joining, termination and transformation of the company (reorganization);

– making decisions on the election of the termination commission (liquidation commission), approval of the procedure for termination of the company;

– making a decision on the order of distribution among the members of the company in the event of its property disposal remaining after satisfying the demands of creditors, approval of the liquidation balance sheet of the company.

 

50% + 1 vote – all other matters.
